These Terms of Service (“Terms”) are a binding agreement between you (“End User” or “you”) and RedZone Digital LLC (“RedZone Digital,” “we,” “our,” or “us”). These Terms govern your use of ChatBid, a Discord application (“App”) developed and operated by RedZone Digital. ChatBid allows users to bid in live auctions hosted inside Discord, powered by Shopify inventory and fulfillment services via Super Streaming’s licensed Live Auction Shopify App (“Super Streaming”).
By using ChatBid, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the App.
1. License Grant
RedZone Digital grants you a limited, non-exclusive, non-transferable, and revocable license to access and use ChatBid in accordance with these Terms. This license is for personal or business use in connection with authorized Shopify and Discord integrations.
2. Modifications
RedZone Digital reserves the right to change, modify, suspend, or discontinue any aspect of ChatBid at any time. Updated Terms will be posted with a new “Last Updated” date. Your continued use of ChatBid after any changes are posted constitutes your acceptance of the new Terms.
3. Communications
By using ChatBid, you consent to receive communications from us, including transactional, service-related, and marketing messages via Discord, email, or other means. You can opt out of marketing emails at any time, though service-related messages are required.
4. Discord & Shopify Account Integration
To use ChatBid, you must:
Authorize the App to connect with your Discord server and grant appropriate permissions
Connect your Shopify store using OAuth authentication
You are responsible for maintaining the confidentiality and security of your credentials and integrations. You are liable for any activity that occurs under your linked accounts unless proven otherwise.
5. Payments and Fulfillment
All transactions initiated through ChatBid are processed by Shopify. ChatBid acts solely as the user interface for bidding and communication and does not collect or handle any payment details. Fulfillment, shipping, taxes, and inventory management are handled by the Shopify store owner via the Super Streaming platform.
6. Use Restrictions
You agree not to:
Use ChatBid for any unlawful, harmful, or abusive purpose
Interfere with the operation of ChatBid or other users’ access
Attempt to reverse engineer, copy, or replicate ChatBid’s functionality
Bypass bidding systems, submit fraudulent bids, or artificially inflate bid prices
Violate any laws or third-party terms, including Discord’s and Shopify’s
Use ChatBid if you are under the age of 13
Use ChatBid to target or exploit minors
Violation of these rules may result in permanent suspension from ChatBid.
7. Ownership and Intellectual Property
ChatBid and its content, code, and branding are the intellectual property of RedZone Digital. Except for the rights granted herein, you do not acquire any ownership or intellectual property rights by using the App.
8. Content and User Behavior
You are solely responsible for any content, including messages, product listings, and links, that you create or post through ChatBid. You must not post any content that is defamatory, harassing, obscene, infringing, or violates any applicable laws or rights of others.
We reserve the right to remove or restrict access to any content that violates these terms at our sole discretion.
9. Privacy
Your use of ChatBid is subject to our Privacy Policy. We do not store or process payment data. Data collected may include Discord user IDs, server IDs, message content related to bidding, and analytics for performance and improvement. Data is shared only with service providers necessary to operate ChatBid and fulfill orders.
10. Termination
We may suspend or terminate your access to ChatBid at any time, without prior notice, for any reason, including but not limited to violation of these Terms. You may remove ChatBid from your Discord server at any time to discontinue use.
Upon termination, all rights granted to you under these Terms will immediately cease.
11. Warranty Disclaimer
ChatBid is provided “as is” and “as available” without warranties of any kind. RedZone Digital does not guarantee uninterrupted access or that ChatBid will be error-free or secure. You use the App at your own risk.
12. Limitation of Liability
To the maximum extent permitted by law, RedZone Digital shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, data, or goodwill arising from your use of ChatBid. Our total liability shall not exceed $100 USD.
13. Indemnification
You agree to indemnify and hold harmless RedZone Digital, its affiliates, and its service providers from any claims, damages, liabilities, or expenses arising from your use of ChatBid, your content, or your breach of these Terms.
14. Governing Law
These Terms are governed by the laws Ireland. Any disputes shall be resolved in Ireland or licensed state of operations.
15. Dispute Resolution
Before initiating any formal legal action, you agree to first contact RedZone Digital to attempt to resolve the issue informally. If informal resolution is not possible, disputes shall be settled through binding arbitration in accordance with the rules of the American Arbitration Association, unless prohibited by law.
